S corporation status and state law

An S corporation that loses its S status under state law for failing to file an annual report can continue to be an S corporation for federal income tax purposes, says the IRS. While the state can administratively dissolve the corporation, if it fails to tell the corporation and the corporation continues to operate as an S corporation, that status will be respected for all years as long as the corporation reincorporates in the state when it learns of the administrative problem.
